Unless stated otherwise, all references to the Site in these Terms and Conditions include this Site. These Terms and Conditions do not apply to your use of unaffiliated sites to which the Site only links.

In the event a product listed on our website is labeled with an incorrect price due to some typographical, informational, technical or other error, COMPANY shall at its sole discretion have the right to refuse and/or cancel any order for said product and immediately amend, correct and/or remove the inaccurate information. Additionally, all hyperlinks to other websites from COMPANY are provided as resources to customers looking for additional information and/or professional opinion. COMPANY does not assume responsibility for the claims and/or representations made on these or any other websites.

Product Revisions

COMPANY is not responsible for changes or variations in product specifications and/or physical appearance, since in some cases COMPANY acts as a distributor for others. In the interest of our customers, COMPANY puts forth its best efforts to ensure that all product information is up-to-date and factual. Unfortunately there are varying determinates which, although infrequent, could cause the information on our website to become outdated without our immediate knowledge. This includes but is not limited to new versions or revisions, color deviations, retail package alterations and other variations that may be considered inconsequential by the manufacturer. In some cases, COMPANY relies on the manufacturer of a product to communicate these differences. Presently we have no way of alerting customers prior to purchase in the event the manufacturer fails to do so. Consequently, COMPANY will not be held responsible for product revision changes.

Assessment Products Terms and Conditions

COMPANY provides psychometric assessments, training, and all other products (“Product(s)”) subject to these terms and conditions (“T&C”). Please review these terms and conditions prior to using any Product. Using any product signifies your agreement with these terms and conditions. If you do not agree with these terms and conditions, return the Product(s) for a refund.

Purpose and Limitations of Assessments

The purpose of all assessments provided by COMPANY is to help guide managers to make better hiring and employee development decisions. You should never base any hiring or other personnel decision solely on the outcome of any assessment. Rather, all decisions should be made based upon your professional judgment with the assessment results being one component of your decision.

Accuracy of Results

Even during multiple face to face interviews it is possible for candidates to answer questions deceptively or enhance their answers to be whey they think you want to hear. While many of our assessments include a ‘distortion score’ or other indicators which provide an indication of how candid and frank the respondent was while taking this assessment, COMPANY cannot guarantee the accuracy of the results provided to you by any employee or candidate.

Performance Model Quality

The results obtained by using our assessments will be influenced by the accuracy of the ‘benchmarks’ or ‘job match patterns’ that are created by the user to define the requirements of a specific position, therefore it is critical that you follow the steps outlined beginning on page 1-14 or the PXT Technical manual to insure the integrity of the Performance Models. Failure to follow these steps can negatively impact the results obtained using the Profile XT. You should review the results that you are obtaining using a Performance Model every six months and made adjustments if necessary. Even if we assist you in the creation of benchmarks, the final acceptance and accuracy of the benchmarks is yours.

Required Training

While the reports provided by our assessment products are largely easy-to-use and self explanatory, they should never be used by anyone who has not been trained by an authorized COMPANY trainer. In addition, all users should obtain, review, and understand the documentation and technical manuals provided with each product. You agree that COMPANY has not made any representations either verbally or in writing about the capabilities or use of the products other than those found in documentation for the product.

Disparate Impact

Our assessment provider, Profiles International has created validated and reliable assessment tools to the extent documented in the technical manual for each assessment. The assessments have been developed by an experienced team with an excellent reputation and the assessments have been rigorously evaluated under both federal and conservative state standards.

Nonetheless, an employer utilizing assessments is advised to measure the impact of the test on their specific hiring practices independently of the reliability and validation studies set forth in the assessments’ Technical Manual in order to insure that there is no disparate impact with regard their specific hiring practices. It is your responsibility asthe end user to determine whether this is any disparate impact in your particular company.

Specific State Laws

It is the responsibility of the user to understand and comply with state specific laws relating to the use of assessments in their state.

Legal and Other Advice

You agree that COMPANY nor its representatives  is not engaged in rendering legal, or other professional service. If legal advice is required, the services of a competent professional person should be sought. Any assistance or advice regarding the creation of Performance Models, the selection of candidates, or other human resources topics are only opinions and are provided “as is”, with no warranties or representations. As with all other aspects of using assessments, all final decisions rest with the user.

Authorized Business Partner

You agree that COMPANY is only a strategic business partner of Profiles International Inc., and therefore you release and waive all claims against Maximum Advantage, its parent, subsidiaries, affiliated companies, agents or content providers, and the directors, trustees, officers, shareholders, employees, agents and representatives of each of the foregoing, from any and all claims, damages, liabilities, costs and expenses arising out of your use of the assessments.

Governing Law

These terms and conditions shall be construed in accordance with and governed by the laws of the United States and the State of Pennsylvania, without reference to their rules regarding conflicts of law. You hereby irrevocably consent to the exclusive jurisdiction of the state or federal courts in Dauphin County, Pennsylvania, United States in all disputes arising out of or related to the use of the products.

Subject to Change

The most current version of the Terms and Conditions can be reviewed by clicking on the "Assessment Terms" hypertext link located or published at the bottom of our Web pages. COMPANY shall have the right at any time to change or modify the terms and conditions applicable to your use of the Products.

Each time you receive an invoice or purchase a product from Maximum Advantage, please check these terms and conditions to ensure that you are aware of the current terms and conditions.

Governing Law and Jurisdiction:

Any dispute arising out of or related to these Terms and Conditions or the sales transaction between COMPANY and yourself shall be governed by the laws of the State of Pennsylvania, without regard to its conflicts of law rules. Specifically, the validity, interpretation, and performance of this agreement shall not be governed by the United Nations Convention on the International Sale of Goods. COMPANY and you consent to the exclusive jurisdiction and the exclusive venue of the State Courts of the State of Pennsylvania, Dauphin County, to resolve any dispute between them related hereto, and the parities waive all rights to contest this exclusive jurisdiction and venue of such Courts. Finally, you also agree not to bring any legal action, based upon any legal theory including contract, tort, equity or otherwise, against COMPANY that is more than one year after the date of the applicable invoice.

Severability:

If any provision contained in this agreement is or becomes invalid, illegal, or unenforceable in whole or in part, such invalidity, illegality, or unenforceability shall not affect the remaining provisions and portions of this agreement, and the invalid, illegal, or unenforceable provision shall be deemed modified so as to have the most similar result that is valid and enforceable under applicable Pennsylvania law.

Waiver:

The failure of either party to require performance by the other party of any provision of this agreement shall not affect in any way the first party's right to require such performance at any time thereafter. Any waiver by either party of a breach of any provision in this agreement shall not be taken or held by the other party to be a continuing waiver of that provision unless such waiver is made in writing.

Entire Agreement:

These Terms and Conditions (along with the incorporated California Privacy Policy and Privacy Policy) are the complete and exclusive agreement between the COMPANY and you, and they supersede all prior or contemporaneous proposals, oral or written, understandings, representations, conditions, warranties, and all other communications between the COMPANY and you relating to the subject products. This agreement may not be explained or supplemented by any prior course of dealings or trade by custom or usage.
